As «novas» acções sem valor nominal como alternativa de fi nanciamento para as empresas portuguesas Este artigo versa sobre as principais modificações introduzidas ao Código das Sociedades Comerciais em sequência da consagração da admissibilidade das acções sem valor nominal no âmbito das sociedades anónimas, com a publicação do Decreto-Lei n.º 49/2010, de 19 de Maio. O objectivo deste trabalho é reflectir sobre o verdadeiro alcance desta inovação legal —em particular, sobre se as alterações efectuadas consubstanciam, efectivamente, um alargamento das hipóteses de financiamento das empresas portuguesas, na medida em que permitam a fixação de diferentes valores de emissão—, bem como superar determinadas questões terminológicas que se afiguram decisivas para uma real compreensão desta nova figura em Portugal.

The «new» no par value shares as a fi nancing alternative for the Portuguese companies This article deals with the main modifications introduced to the Portuguese Companies Code after the recognition of no par value shares within public limited companies, with the publication of Decree-Law no. 49/2010 19 May. The purpose of this article is to reflect upon the true extent of this legal innovation —in particular, if the modifications made embody, in effect, an extension of the financing alternatives made available to Portuguese companies, so far as they allow different issue values to be set—, as well as to overcome certain terminological issues which are decisive for the real understanding of no par value shares in Portugal.
