As operações de gestão de responsabilidades e estrutura de capital (liability management exercises) protagonizam um papel de destaque no contexto da crise financeira dos últimos anos, marcada pela incerteza e desconfiança dos mercados, a desvalorização dos instrumentos financeiros, em especial os títulos de divida soberana, e as dificuldades de financiamento das empresas e da economia em geral. Neste artigo, procedemos à análise dos liability management exercises, considerando as motivações e objectivos prosseguidos com operações deste tipo e a configuração jurídica das principais estruturas que, em concreto, têm sido utilizadas na sua implementação, com especial ênfase no sector financeiro.

Liability and capital structure management transactions (liability management exercises) have played a significant role in the context of the financial crisis of the past few years, characterised by the uncertainty and lack of confidence in the markets, the decrease in value of financial instruments, in particular sovereign debt and the financing constraints of companies and the economy in general. In this article, we analyse liability management exercises, considering the motivations and objectives pursued with this type of transactions and the legal framework of the main legal structures that have been specifically used for their implementation, in particular by the financial sector.
